Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the FitCompass platform, including the Fittii member app, the FitCompass trainer app, and the FitCompass admin console (together, the “Platform”), and our website at fitcompass.in (the “Site”), operated by FitCompass Innovations Private Limited (“FitCompass”, “we”, “us”, or “our”). By accessing or using the Platform or the Site, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Who May Use the Platform

The Platform is available to individuals aged 18 or above. If you are a minor, your use of the Platform requires the consent of a parent or lawful guardian, who also accepts these Terms on your behalf. By using the Platform, you represent that you meet these eligibility requirements.

2. Accounts

To use most features, you must create an account. You agree to provide accurate and complete information, keep your credentials secure, and notify us promptly if you suspect unauthorised access. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

3. The Platform — Gyms, Trainers, and Members

The Platform connects gyms, trainers, and members. If you access the Platform as a member or trainer, your gym (“Gym Operator”) may administer your account, manage your access, and view your activity data through the Platform. Your relationship with your Gym Operator is governed by your agreement with that gym; FitCompass is not party to it. Gym Operators are responsible for ensuring they have appropriate authority to enrol members and trainers on the Platform.

4. Acceptable Use

You agree not to:

• use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
• upload or transmit content that is false, misleading, defamatory, obscene, or infringing;
• attempt to gain unauthorised access to any part of the Platform or any related system;
• interfere with or disrupt the integrity or performance of the Platform;
• reverse-engineer, decompile, or otherwise attempt to derive source code;
• use automated tools to scrape, crawl, or extract data from the Platform; or
• use the Platform in any way that could harm other users or FitCompass.

5. Health and Fitness Disclaimer

The Platform provides tools to log, track, and visualise fitness and nutrition activity. It does not provide medical advice, diagnosis, or treatment. Nothing on the Platform should be construed as medical advice. Always consult a qualified healthcare professional before starting a new exercise programme, particularly if you have a health condition or injury. Use the Platform at your own risk.

6. Intellectual Property

All content, software, trademarks, and other materials on the Platform are owned by or licensed to FitCompass, unless otherwise indicated. You may not reproduce, distribute, modify, or create derivative works from Platform content without our prior written consent.

You retain ownership of the content you upload or create on the Platform (“User Content”). By submitting User Content, you grant FitCompass a non-exclusive, worldwide, royalty-free licence to use, store, and display that content solely to operate and improve the Platform.

7. Fees and Payments

The Platform is currently provided free to Gym Operators. Members may access optional paid features (“Paid Features”) for a fee. Details of Paid Features and applicable fees are displayed within the Platform. Fees are non-refundable except as required by applicable law or as expressly stated at the time of purchase. Payments are processed by third-party payment providers; their terms also apply to your transactions.

We may change fees for Paid Features on reasonable notice. Continued use after a fee change constitutes acceptance of the new fee.

8. Third-Party Services and Links

The Platform may integrate with or link to third-party services, websites, or platforms. We do not control those services and are not responsible for their content, availability, or practices. Links do not imply endorsement. Your use of third-party services is governed by their respective terms.

9. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

10. Confidentiality of Gym Data

Gym Operators may share business data with us as part of operating their account. We treat such data as confidential and will not disclose it to third parties except as described in our Privacy Policy or as required by law.

11. Suspension and Termination

You may stop using the Platform at any time. You may close your account by contacting us at hello@fitcompass.in.

We may suspend or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required by applicable law. We will give reasonable notice where practicable. Upon termination, your licence to use the Platform ceases immediately.

12. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

13. Limitation of Liability

To the fullest extent permitted by applicable law, FitCompass and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Platform.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of the fees you paid to us in the three months preceding the event giving rise to the claim, or ₹1,000.

14. Indemnification

You agree to indemnify and hold FitCompass and its affiliates, officers, directors, and employees harmless from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Platform, your User Content, or your violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION — e.g., Bengaluru, Karnataka], India.

Before initiating formal proceedings, we encourage you to contact us at hello@fitcompass.in so that we can attempt to resolve the matter informally.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide notice within the Platform or by email. Your continued use of the Platform after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Platform.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and FitCompass with respect to the Platform and supersede all prior agreements and understandings.

19. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of FitCompass to be effective.
